Any dispute or difference or claim arising out of or in relation to the agreement between ____________ and ______________, which cannot be resolved amicably, be referred for resolution to a sole arbitrator or if they cannot agree upon a single arbitrator within 30 days of any party invoking arbitration, the same shall be referred to a panel of 3 arbitrators, comprising of two arbitrators, one to be appointed by each of the parties to the dispute/difference and the third arbitrator to be appointed by such two arbitrators and arbitration shall be conducted under and in accordance with provisions of the Arbitration and Conciliation Act, 1996 read with Prompt Dispute Resolution Council (“PDRC”) Rules and Regulations. The award being final and binding on the parties. The venue of arbitration shall be Prompt Dispute Resolution Council, _______________. The arbitral proceedings shall be conducted in the English language.

The parties agree not to resort to litigation when the dispute resolution process is in motion.
